Keeps asking for permission to activate

found new hardware.
What's up with that?
How do I stop it from that?
I've browsed these forums and have found no answer.
I did come across a thread that seemed to say, "too many activation's will shut the program off.
True?

WinXP all sp3 updates, two HD's, one USB HD (for .tib storage), one USB DVD-R/W.
Have no other problems.
Have tested 12 successfully three times.
